Terms of Service
The agreement between you and WHMCSPilot
Effective date: May 11, 2026
Welcome to WHMCSPilot. These Terms of Service ("Terms") form a binding agreement between you ("Customer", "you") and WHMCSPilot ("we", "us", "our") covering your purchase and use of any module, plugin, theme, script, custom development service, or hosted resource (collectively, the "Products and Services") sold through whmcspilot.com.
By creating an account, placing an order, downloading a module, or otherwise using our website, you confirm that you have read, understood, and agreed to these Terms in full. If you do not agree, do not use our Products and Services.
1. Eligibility and account responsibility
You must be at least 18 years old (or the age of legal majority in your jurisdiction) and able to enter into binding contracts to use WHMCSPilot. If you are purchasing on behalf of an organisation, you confirm that you have authority to bind that organisation.
You are responsible for keeping your account password secure and for all activity that occurs under your account. We are not liable for any loss or damage arising from your failure to safeguard your credentials. Notify us immediately at [email protected] if you suspect unauthorised access.
2. Licensing of modules and software
All modules, plugins, themes and scripts sold by WHMCSPilot are licensed, not sold. When you purchase a module, you receive a non-exclusive, non-transferable, perpetual licence ("Lifetime Licence") to use that module on the domain or installation specified at the time of issuance, subject to these Terms.
Your Lifetime Licence:
- Permits use on one (1) production WHMCS installation bound to a single primary domain plus reasonable development and staging copies of the same installation.
- Includes twelve (12) months of updates and technical support from the date of purchase. After that period, the module continues to function but you will need to renew support to receive new versions, security patches, or assistance from our team.
- May be migrated to a new primary domain free of charge by submitting a domain change request from your customer portal. We will action genuine migration requests within one business day.
- Is not transferable to a different legal entity without our prior written consent.
You may not, except as expressly permitted by law: (a) resell, sublicense, lease, rent, or distribute any module or its source code; (b) remove or alter copyright, licence, or attribution notices; (c) decompile, reverse-engineer, or attempt to derive the source code of any encoded component; (d) use the module to operate a service that resells the module's functionality as a SaaS to third parties without a separate written agreement.
3. Custom development and professional services
"Services" means any custom development, configuration, integration, migration, troubleshooting, audit, or consulting engagement quoted and delivered by WHMCSPilot. Services are scoped on a fixed-price or hourly basis and confirmed in writing before work begins.
Service deliverables are owned by you on full payment, except that any pre-existing code, libraries, or generic helper utilities written by us that are reused across customers remain our property and are licensed to you on the same Lifetime Licence terms as a module.
Service timelines are best-effort estimates given in good faith and depend on the timely availability of access credentials, sample data, and feedback from your team. Reasonable delays caused by Customer-side dependencies do not constitute a breach by us.
4. Payment, billing, and currency
Prices are listed in US dollars (USD) unless otherwise stated and exclude applicable taxes, duties, and bank fees. We accept payment via Stripe (cards, Apple Pay, Google Pay), PayPal, and cryptocurrency processed through NowPayments. Payment is due in full at the time of order for modules, and per the milestone schedule in your written quote for services.
If a card payment is declined, chargeback is initiated without first contacting us, or a payment is reversed by your provider, we may at our sole discretion: (a) suspend access to your downloads and licence keys; (b) deactivate any module licences associated with the disputed transaction; (c) refer outstanding balances to a debt collection service or competent court.
5. Refunds
Our refund terms are described in detail on our Refund Policy page. In summary:
- Modules: Refundable for any reason within seven (7) calendar days of the original payment date, provided the licence has not been actively used to operate a commercial install.
- Services: Non-refundable. Once a service engagement is paid for, we begin allocating engineer time and the payment is consumed against that reserved capacity.
The Refund Policy is incorporated into and forms part of these Terms.
6. Support, updates, and end of life
The first twelve months of support and updates are included with every module licence. Support covers: bug fixes, compatibility patches for new WHMCS releases, security updates, and reasonable email/ticket assistance with installation and configuration. Support does not cover: server administration, theme customisation outside the module, work on third-party plugins, or rewriting code to suit bespoke business processes - those are billable services.
After the first year you may renew support and updates at a discounted rate published in your customer portal. If you choose not to renew, your module continues to work but will not receive new releases, security patches, or active support.
We commit to maintaining each module for a minimum of three (3) years from its public release. If we decide to discontinue a module before that period, we will publish source code or a long-term-stable build so that your business is not stranded.
7. Intellectual property
All trademarks, logos, designs, documentation, and source code on whmcspilot.com remain the property of WHMCSPilot (or our licensors). Nothing in these Terms transfers ownership of our intellectual property to you. The Lifetime Licence grants you usage rights only.
You retain all rights in your own business data, customer records, configuration values, and any content you upload to our systems for the purpose of receiving Services.
8. Acceptable use
You agree not to use our Products and Services to: (a) violate any law; (b) infringe third-party intellectual property or privacy rights; (c) distribute malware or facilitate fraud; (d) operate any service that pirates content, including unauthorised IPTV redistribution; (e) attempt to bypass our licence-validation system or reverse-engineer protected code; (f) impersonate WHMCSPilot or its staff.
We may suspend or terminate accounts found in material breach of this clause without refund.
9. Confidentiality
Each party agrees to keep confidential any non-public business information shared during the course of an engagement (server credentials, customer lists, financial figures, internal documentation). Confidentiality obligations survive termination of these Terms.
10. Warranty and disclaimer
We warrant that our modules and services will substantially perform as described in their published documentation at the time of purchase. Except for that limited warranty, all Products and Services are provided "AS IS" without any other warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement, to the maximum extent permitted by law.
We do not warrant that operation will be uninterrupted or error-free, or that all defects can be corrected. Hosting industry environments are inherently complex and outcomes depend in part on factors outside our control (third-party APIs, server configuration, network conditions).
11. Limitation of liability
To the maximum extent permitted by law, WHMCSPilot's total aggregate liability arising out of or related to these Terms - whether in contract, tort, or otherwise - shall not exceed the total amount you actually paid to WHMCSPilot in the twelve (12) months preceding the event giving rise to the claim.
In no event shall we be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, even if we have been advised of the possibility of such damages.
Nothing in these Terms excludes or limits liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any other liability that cannot lawfully be excluded.
12. Indemnity
You agree to indemnify and hold WHMCSPilot, its directors, employees, and contractors harmless from any claim, demand, loss, damage, or expense (including reasonable legal fees) arising out of your breach of these Terms, your use of the Products and Services in violation of law, or your operation of any business that infringes third-party rights.
13. Termination
You may stop using the Products and Services at any time. We may terminate your account and revoke licences if you materially breach these Terms (including failure to pay or violation of clause 8), provided we have first given you reasonable opportunity to cure where the breach is capable of cure.
On termination: (a) all outstanding fees become immediately payable; (b) your right to access and download module updates ends; (c) clauses concerning licensing, payment, intellectual property, confidentiality, warranty disclaimer, limitation of liability, indemnity, and governing law survive.
14. Changes to these Terms
We may amend these Terms from time to time. The "Effective date" at the top of this page indicates the date of the latest revision. Material changes will be notified to active customers by email or via a banner in the customer portal at least thirty (30) days before they take effect, except where a shorter period is required by law.
Continued use of the Products and Services after the effective date constitutes acceptance of the revised Terms. If you do not agree to a revision, you may stop using the Products and Services; this does not entitle you to a refund of fees already paid.
15. Governing law and dispute resolution
These Terms are governed by and construed in accordance with the laws of the jurisdiction in which WHMCSPilot is established, without regard to its conflict of laws rules. The parties agree to attempt good-faith resolution of any dispute through negotiation for at least thirty (30) days before initiating formal proceedings. If unresolved, disputes shall be submitted to the exclusive jurisdiction of the competent courts of that same jurisdiction, unless mandatory consumer-protection law in your country of residence requires otherwise.
